These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Axiox Media Technology Limited (“U37”, “we”, “us”, or “our”), the operator of the U37 platform and related services.

By accessing, registering for, or using the U37 platform, website, applications, or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Description of the Services

U37 is a social and user-generated content platform. The Services include, but are not limited to: social networking features, upload and sharing of user-created content (including JSON scene files), marketplace, creator monetization tools, and AI-assisted features.

U37 reserves the right to modify, suspend, or discontinue any part of the Services at any time without notice.

2. Eligibility and User Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction). You are responsible for all activity under your account. U37 may suspend or terminate any account at its sole discretion, with or without notice.

3. User Content and Intellectual Property

3.1 Ownership

You retain ownership of your User Content. However, by submitting User Content, you grant U37 a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable license to use, host, store, copy, modify, distribute, display, and create derivative works from such content in connection with the Services and U37’s business.

3.2 Strict User Warranties and Representations

You represent, warrant, and covenant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license above;
• Your User Content (including any text, images, JSON scene files, descriptions, AI-generated or AI-assisted content, and marketplace listings) does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, publicity rights, moral rights, or any other rights;
• Your User Content complies with all applicable laws and does not contain any illegal, defamatory, obscene, hateful, violent, misleading, or harmful material;
• You have not and will not upload any content for which you do not have full legal authority to grant the rights required by these Terms;
• You are solely and exclusively responsible for ensuring that your User Content is accurate, legal, and non-infringing.

These warranties are ongoing and survive termination of your account.

3.3 Platform as Passive Conduit – No Liability for User Content

The Publisher of any User Content retains sole ownership and the sole and final right of interpretation of their content. U37 has no involvement in determining the meaning or effect of any User Content.

U37’s limited right to remove or disable content is discretionary only and does not create any duty to monitor, any obligation to act, or any liability for not acting.

3.4 User Responsibility and Assumption of Risk

By submitting User Content, you assume all risk and responsibility associated with such content. You agree that U37 is not responsible for any loss, damage, or harm arising from your User Content or from other users’ content.

4. Prohibited Content – Adult, Violent, Pornographic, and Illegal Material

U37 maintains a strict zero-tolerance policy toward the following types of User Content:

• Pornography, sexually explicit material, nudity, or any adult content;
• Graphic violence, gore, extreme violence, or content that glorifies violence;
• Child sexual abuse material or any content involving minors in a sexual or exploitative context;
• Any other illegal, extremely harmful, or prohibited content under applicable law.

U37 does not proactively monitor all User Content in real time. However, if any User Content that violates this policy is reported by other users, or is discovered by U37 staff, moderators, or administrators, U37 reserves the absolute right to immediately remove such content and to suspend or permanently ban the responsible account, without prior notice or warning.

Users who repeatedly or seriously violate this policy will have their accounts permanently terminated. U37’s decision in such matters is final.

5. Marketplace and Transactions

All marketplace transactions are strictly between users. U37 is not a party to any transaction and makes no representations or warranties regarding the ownership, IP status, quality, legality, or non-infringement of any User Content listed for sale or licensing.

U37 disclaims all liability arising from marketplace transactions. Buyers and sellers transact entirely at their own risk.

6. Prohibited Conduct

You agree not to upload, post, or transmit any content that violates these Terms or applicable law. U37 may immediately remove content and suspend or terminate accounts for violations, without notice.

7. Content Moderation – No Duty to Monitor

U37 has no obligation to monitor, review, or moderate User Content. U37 reserves the right (but not the duty) to remove or disable access to any content at any time, for any reason or no reason, in its sole discretion.

U37 will consider valid notices of alleged infringement but is not required to take any specific action. The decision whether to act remains entirely at U37’s discretion.

8. AI-Generated and AI-Assisted Content

When using any AI features, you remain fully and solely responsible for all content you create, publish, or list using such features. U37 does not guarantee that AI outputs are non-infringing, accurate, or legal. You must independently verify all AI-assisted content before publishing.

9. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available” without any warranties of any kind.

To the maximum extent permitted by Hong Kong law, U37 and its affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services or from any User Content.

U37’s total liability for any claim shall not exceed the amount you paid to U37 in the twelve months preceding the claim (or HKD 1,000 if you paid nothing).

10. Indemnification

You agree to indemnify, defend, and hold harmless U37, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

• Your User Content (including any claim that it infringes third-party rights or violates any law);
• Your use of the Services;
• Your violation of these Terms;
• Any marketplace transaction involving your content;
• Any AI-generated or AI-assisted content you publish;
• Any regulatory action, complaint, or investigation related to your content or activity.

This indemnification obligation survives termination of your account and these Terms.

11. Termination

U37 may suspend or terminate your access at any time, with or without cause or notice. Upon termination, the licenses you granted to U37 survive, as do your indemnification and warranty obligations.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

13. Changes to These Terms

U37 may update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and U37. If any provision is found unenforceable, the remaining provisions remain in effect. U37’s failure to enforce any right does not constitute a waiver.
